Terms & Conditions

1. Definitions

1.1
In these terms and conditions:
“Paul Walton” means Paul Walton Limited, their associates or persons employed by them for specific client assignments;
“The Client” means the firm, company, individual or other party with whom Paul Walton contracts;
“The Assignment” means the development and delivery of consultancy training, associated materials and services which shall be the subject of the Contract between Paul Walton and the Client;
“The Working Agreement” means the contract between Paul Walton and the Client based on the terms and conditions contained herein which will become binding on both parties following agreement and signature.

2. Basis of Sale

2.1
Any Working Agreement produced by Paul Walton will be subject to these terms and conditions. Additionally the Working Agreement may also contain special terms and conditions applicable to certain circumstances.

2.2
Any proposal made by Paul Walton is an invitation to the Client to make an offer within 3 calendar months of the proposal date. During this period Paul Walton guarantee not to vary the contents of the proposal without the Clients express permission and agreement except as defined in section 2.3 of these Terms and Conditions. Paul Walton reserves the right to revise or revoke the proposal outside this time limit.

2.3
Any typographical, clerical or other error or omission in any sales literature, proposal, Working Agreement, invoice or other document or information issued by Paul Walton shall be subject to correction without liability on the part of Paul Walton.

3. Dates and Duration of Assignments

3.1
The dates and duration of the Assignment and any other subsequent variation should be agreed in writing by Paul Walton and the Client, and stated in the Working Agreement.

4. Professional Fees

4.1
Fees for the development and delivery of the Assignment will be agreed for each Assignment or part thereof and confirmed in writing either within the proposal, Working Agreement or separately between Paul Walton and the Client.

4.2
Professional fees do not include expenses incurred in undertaking the Assignment and these will be clearly itemised separately on the Client invoices.

4.3
All fees for work undertaken in the UK and EEC are subject to Value Added Tax at the rate currently in force at the invoice date.

4.4
Fees will be invoiced immediately on completion for short-term Assignments and at the end of each calendar month for longer term Assignments unless otherwise agreed within the Proposal or Working Agreement. Payment will be due within 30 days of the invoice date. If payment is not received within 30 days of the invoice date interest on the outstanding amount will accrue at the rate of 10% per annum. If payment is not received within 60 days of the invoice date interest on the outstanding amount will accrue at the rate of 15% per annum. If payment is not received within 90 days of the invoice date interest on the outstanding amount will accrue at the rate of 20% per annum. If payment is not received within 90 days interest thereafter shall accrue at the rate of 25% per annum.

5. Expenses

5.1
Travel and venue/accommodation costs incurred during UK or international Assignments will be charged at cost to the Client.

5.2
Car mileage incurred will be charged at current mileage rate quoted within the Proposal or Working Agreement.

5.3
Equipment hire or provision of licensed materials will be charged to the Client as quoted within the Proposal or Working Agreement.

5.4
For training Assignments a charge will be made to cover stationary and other materials unless otherwise agreed.

5.5
The Client shall be responsible for the travel and accommodation expenses incurred by their own staff.

5.6

5.7

6. Cancellation and Postponements

6.1
Cancellation charges will be incurred by the Client at the following rates, according to the length of notice given in writing to Paul Walton.

6.1.1
75% of professional fees as agreed within the Working Agreement for cancellation within 30 days of commencement of the Assignment;

6.1.2
50% of professional fees as agreed within the Working Agreement for cancellation within 60 days of commencement of the Assignment;

6.1.3
25% of professional fees as agreed within the Working Agreement for cancellation within 90 days of commencement of the Assignment;

6.2
In the event of the Client postponing the Assignment, Paul Walton reserve the right to impose a surcharge on the agreed professional fees according to the notice given to Paul Walton in writing at the following rates:

6.2.1
15% of professional fees as agreed within the Working Agreement for postponement within 30 days of commencement of the Assignment;

6.2.2
10% of professional fees as agreed within the Working Agreement for postponement within 60 days of commencement of the Assignment;

6.2.3
5% of professional fees as agreed within the Working Agreement for postponement within 90 days of commencement of the Assignment;

6.3
For this purpose a postponement shall be defined as a deferral for a time not exceeding 90 days. A deferral for a longer period shall be treated as a cancellation.

7. Confidentiality

7.1
Paul Walton shall treat as confidential all documentation or information supplied by the Client during Assignments and will ensure that such information and documentation is used solely for the purpose of this and future Assignments for the Client and for no other purpose.

8. Data Protection

8.1
Information provided to us at the time of booking is held on our database and is used to communicate information which may be of interest to you. From time to time we may contact you with offers relating to our services or pass your details on to other businesses so they can contact you with offers of goods or services that you might be interested in. Please inform us, in writing, should you wish us to remove your name and details from our mailing lists.

9. Copyright

9.1
The copyright of handouts, case studies, models and other materials prepared exclusively for the Assignment shall remain with Paul Walton and shall not be reproduced by any means by the Client or whom they may direct unless agreed with Paul Walton.

9.2
Materials designed for Client use and distribution that may be freely copied will be clearly identified as such.

10. General

10.1
All Working Agreements agreed between Paul Walton and the Client shall be governed by the laws of England.

10.2
We will not be held responsible for any costs incurred by clients in the event of adverse weather conditions, or any other reason beyond our control, preventing us from carrying out the activities outlined by the Working Agreement.
